Terms of Service.

The legal agreement between you and Jianzhik for the use of our websites, applications and related services. Please read it. We have tried to write it the way a reasonable person would.

1. Acceptance

These Terms of Service ("Terms") form a binding agreement between you and Jianzhik ("we", "us", "our"), an independent product studio based at Arizona State University Sky Song Innovation Campus, Tempe, Arizona, United States. By installing, accessing or otherwise using our websites, mobile, desktop, tablet, visionOS or other applications, or any related services (collectively, the "Services"), you agree to these Terms.

If you do not agree, do not use the Services. If you are accepting these Terms on behalf of an entity, you represent that you have authority to bind that entity.

2. Definitions

  • "Apps"" - the mobile, tablet, desktop, visionOS, web or other applications published by Jianzhik.
  • "Website"" - jianzhik.com and any subdomain.
  • "Content"" - text, graphics, images, music, audio, video, software, data, code and other material.
  • "End User"" - any natural person using the Services.
  • "Subscription"" - a recurring paid entitlement to access a paid tier of the Services.
  • "In-App Purchase"" - a non-recurring purchase made inside an App, including consumables, non-consumables and unlocks.

3. Eligibility & Age

You must be at least 13 years old (or higher where required by your local jurisdiction) to use the Services. If you are under the age of majority in your jurisdiction, your parent or legal guardian must accept these Terms on your behalf. We do not knowingly collect data from, or direct the Services to, children under 13.

4. Licence Grant

Subject to your compliance with these Terms and any payment obligations, we grant you a personal, non-exclusive, non-transferable, revocable licence to:

  • Install and use the Apps on devices you own or control, solely for your personal, non-commercial purposes (unless a separate commercial licence is in place).
  • Access the Website and its Content for personal, non-commercial purposes.

You may not sublicense, resell, lease, rent or otherwise commercially exploit the Services except as expressly permitted.

5. Accounts & Security

Most of our Apps do not require an account. Where an account is required (e.g. for sync, premium features, support), you agree to:

  • Provide accurate and complete information.
  • Maintain the security of your credentials, including any device passcode, biometric key, recovery phrase or two-factor configuration.
  • Promptly notify us of any suspected unauthorised access.

You are responsible for all activity under your account, whether or not authorised.

6. Subscriptions & Billing

Where we offer paid Subscriptions, additional terms apply at the point of purchase. By starting a Subscription you agree to the then-current pricing, billing frequency and renewal terms. Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing cycle. You may cancel via your App Store account settings.

7. In-App Purchases

In-App Purchases (consumables, non-consumables and unlocks) are processed by the relevant App Store operator (Apple, Google, Huawei, Xiaomi, Samsung, Microsoft or Amazon) and are subject to that operator's terms, including their refund policies.

8. Free Trials

We may offer free trials. If a Subscription begins after a free trial, you will be charged the then-current price at the end of the trial unless you cancel before the trial ends. We will notify you of the trial end via in-app notice and / or email.

9. Refunds

Refunds for purchases made through an App Store are governed by that App Store's refund policy. Where a refund is owed for purchases made directly through us (e.g. Website purchases), we will process the refund within 14 days of approval. Statutory rights of withdrawal, where applicable, are preserved.

10. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Apps, except to the extent expressly permitted by applicable law.
  • Modify, adapt, translate or create derivative works of the Services.
  • Remove or alter any proprietary notices or labels.
  • Use the Services to violate any law, regulation or third-party right.
  • Upload malicious code, attempt to gain unauthorised access, or interfere with the experience of other users.
  • Circumvent or attempt to circumvent rate limits, security mechanisms, paywalls, DRM or licence enforcement.
  • Use the Services in any manner that could damage, disable, overburden or impair our infrastructure.
  • Use any automated means to access, scrape, crawl or mirror the Services, except as permitted by our robots.txt.
  • Use the Services for the development or training of competing products or machine learning models.

11. Intellectual Property

All intellectual property rights in the Services and the Content (including source code, designs, audio, motion, photographs, trademarks, logos) are and remain the property of Jianzhik or its licensors. No rights are granted to you other than the limited licence expressly set out in these Terms.

12. User Content

Where the Services allow you to submit, post, upload or otherwise make available content ("User Content"), you retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to host, store, reproduce, modify (for technical reasons such as format conversion), distribute and display your User Content solely to operate and improve the Services you use.

You represent that you have all rights necessary to grant this licence and that your User Content does not violate any law or third-party right.

13. Third-Party Services

The Services may integrate third-party SDKs, APIs and platforms (advertising networks, payment processors, analytics, maps, social logins, etc.). Your use of those services is subject to their own terms and privacy policies. A current list of advertising and monetisation partners is maintained in our Privacy Policy (see Privacy Policy ยง 9).

14. App Store Specific Terms

If you obtained an App from a third-party App Store operator (Apple, Google, Huawei, Xiaomi, Samsung, Microsoft, Amazon or any other), you acknowledge that:

  • These Terms are between you and Jianzhik, not the App Store operator. The operator has no obligation to provide maintenance or support.
  • The operator is not responsible for any warranty, product liability, or infringement claims relating to the App.
  • The operator may amend the App Store terms from time to time; we will use reasonable efforts to notify you of any material change.
  • You may report any App-related issue to us at contact@jianzhik.com or, in the alternative, to the operator's customer support.
  • For Apple: Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Apple's minimum terms (EULA) apply and, in case of conflict with these Terms for Apps obtained through Apple, the Apple EULA prevails with respect to your use of that App.
  • For Google Play: the Google Play Terms of Service apply to your use of the Play Store.
  • For Huawei AppGallery: the Huawei Developer Consumer Terms apply.
  • For Xiaomi GetApps: the Xiaomi End User Terms apply.
  • For Samsung Galaxy Store: the Samsung Galaxy Store Terms and Conditions apply.
  • For Microsoft Store: the Microsoft Services Agreement and Microsoft Store Terms of Sale apply.
  • For Amazon Appstore: the Amazon Appstore Terms of Use apply.

Where required by law, our Apps are age-gated at the storefront in accordance with the applicable platform's age-rating system.

15. Updates & Changes

We may release updates that include bug fixes, new features, performance improvements, security patches and compatibility changes. Updates may be automatic or require your manual action depending on the platform and your device settings. We may also discontinue any feature or Service at any time, with reasonable notice where practicable.

16. Termination

These Terms remain in effect until terminated. You may terminate at any time by uninstalling the Apps and discontinuing use of the Services. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Services. Upon termination:

  • Your licence to use the Services ends.
  • You remain liable for any amounts owed up to the date of termination.
  • Provisions that by their nature should survive (including IP, disclaimers, liability limits, governing law) will survive.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL JIANZHIK, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES. IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (US$100).

19. Indemnification

You agree to indemnify and hold harmless Jianzhik from any claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your use of the Services.

20. Export Controls & Sanctions

You agree to comply with all applicable export control and sanctions laws and regulations, including those administered by the U.S. Department of Commerce, the U.S. Department of the Treasury (OFAC), the U.K. Department for International Trade, the European Union and any other applicable authority. You may not use the Services if you are located in, or a resident or national of, any embargoed country or are on any sanctions list.

21. Governing Law

These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

22. Disputes & Arbitration

We will try to resolve any dispute informally first. Please email contact@jianzhik.com with the subject "Dispute". If we cannot resolve the dispute within 30 days, any unresolved dispute will be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, except where prohibited by law.

For consumers in the European Economic Area, the United Kingdom or Switzerland, this does not deprive you of the protection of the mandatory laws of your country of residence or your right to bring claims in your local courts.

23. Class-Action Waiver

Where permitted by law, you and Jianzhik agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If this waiver is found unenforceable, the dispute will be decided by a court of competent jurisdiction.

24. Accessibility

We design our Services to be accessible to people with disabilities and comply with applicable accessibility laws including the Americans with Disabilities Act (ADA), Section 508 of the Rehabilitation Act, the European Accessibility Act (EAA) and the UK's Equality Act 2010. If you encounter accessibility issues, please write to contact@jianzhik.com and we will work with you to address them.

25. Force Majeure

We will not be liable for any failure or delay in performance to the extent caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government actions, epidemics, pandemics, internet or telecommunications failures, power failures, or denial-of-service attacks.

26. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganisation or sale of all or substantially all of our assets without your consent.

27. Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law and the remaining provisions will remain in full force and effect.

28. Entire Agreement

These Terms (and any additional terms referenced for specific Services) constitute the entire agreement between you and Jianzhik with respect to the Services and supersede all prior or contemporaneous communications, representations or agreements.

29. Changes to these Terms

We may update these Terms. The "Effective" date at the top reflects when the most recent changes were made. Where changes are material we will notify you via:

  • An in-app banner on next launch.
  • A field-notes newsletter issue (if you are subscribed).
  • A notice on the Website homepage.

Your continued use of the Services after a change indicates acceptance of the updated Terms.
